Bee Loyal is operated by Bits Matter Ltd ("we", "us"), a company registered in England and Wales. These terms apply to the Bee Loyal dashboard, the passes it issues, the prize draws run through it, and the related API.
We provide digital loyalty cards, business cards, prize draw entries and queue tickets delivered through Apple Wallet and Google Wallet, together with a web dashboard and an API to manage them. We may change or withdraw features with reasonable notice.
You are responsible for keeping your login details confidential and for everything done under your account. Tell us straight away if you believe your account has been used without permission. You must be at least 18 and authorised to act for the business you register.
You keep ownership of the names, logos, artwork and contact details you upload. You grant us a licence to use them only to provide the service, for example to render passes and send them to the wallets of the people you issue them to. You confirm you have the right to use that content and to share the personal details of the people you issue cards to.
For personal data that you ask us to handle through the service, you are the controller and Bits Matter Ltd is your processor. Our Data Processing Addendum forms part of these terms and contains the controller–processor terms required by Article 28 of the UK GDPR. We are a controller for the limited account, billing and security data that we use for our own purposes, as explained in our Privacy Policy.
You must not use the service to send unsolicited messages, to impersonate another person or business, to issue cards to people without their agreement, or in any way that breaks the law or the terms of Apple Wallet or Google Wallet.
If you use the service to run a prize draw, you are its promoter and we are not a party to it. You are responsible for the draw's terms and conditions and for making them available to people before they enter, for the prizes and their delivery, for dealing with entrants and winners, and for making sure the draw complies with the law and the advertising rules that apply to it. Draws run through the service must be free to enter: you must not charge for entry or make a purchase or payment a condition of entering.
Our part is the software. It issues the entry cards, picks a winner at random or records the winning number you give it, updates the cards, sends the notifications you ask for and keeps a record of each draw. We do not review or approve your draw or its terms. We hold no contact details for entrants, so a winner can be told only through their card, and we are not responsible if a winner cannot be reached because the card has been deleted or its notifications are switched off.
We are not liable to you, or to any entrant or winner, for the promotion itself: its terms, its lawfulness, its prizes or any dispute about it. You will cover any claim, fine or cost we face because of your draw, except to the extent it was caused by our breach of these terms.
Fees, if any, are as stated when you sign up or as agreed with us in writing. We may suspend the service if fees are overdue.
We aim to keep the service available but do not guarantee it. Passes already in a wallet keep working during an outage but will not update until service resumes.
You can stop using the service at any time and ask us to delete your company and its data. We may suspend or end your access if you break these terms. On termination we retire your passes and return or delete personal data as set out in the Data Processing Addendum, subject to any legal retention requirements.
Nothing in these terms limits liability that cannot be limited by law. Otherwise our total liability to you in any 12-month period is limited to the fees you paid us in that period, and we are not liable for indirect or consequential loss.
These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction.
